WatchSignal - Terms of Service

1. Agreement to terms
By downloading, installing, or using the WatchSignal mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
WatchSignal is developed and operated by Hazem ElSisy ("we", "us", "our"). Contact: support@watchsignal.ai.
2. IMPORTANT - NOT FINANCIAL ADVICE
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
2.1 Not a financial adviser
WatchSignal is an informational tool only. Nothing in the App - including but not limited to AI-generated signals, Bullish/Neutral/Bearish indicators, confidence scores, portfolio analytics, sentiment analysis, earnings briefings, or any other content - constitutes financial advice, investment advice, trading advice, tax advice, legal advice, or any other professional advice.
Hazem ElSisy and WatchSignal are not:
- Registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) or any U.S. state regulator
- Authorised or regulated by the UK Financial Conduct Authority (FCA)
- Authorised under MiFID II or registered with any EU member state financial regulator
- A broker, dealer, financial planner, or fiduciary
2.2 AI signals are not recommendations
The App uses an on-device machine learning model (LSTM neural network) to generate directional signals labelled Bullish, Bearish, or Neutral (and their strong variants). These signals:
- Are generated by a statistical model with a backtested directional accuracy of approximately ~51–58% across timeframes, meaning signals are incorrect approximately 42–49% of the time. Past model performance does not guarantee future accuracy.
- Are not based on a comprehensive analysis of your personal financial situation, risk tolerance, investment objectives, or tax position.
- May be based on stale, delayed, or inaccurate market data.
- May not account for material non-public information, corporate actions, regulatory changes, or macro events.
- Are not a substitute for independent research or professional financial advice.
- Do not constitute a financial promotion within the meaning of section 21 of the Financial Services and Markets Act 2000 (FSMA). They are informational outputs of a mathematical model, not communications designed to invite or induce you to engage in investment activity.
A Bullish signal does not mean you should buy. A Bearish signal does not mean you should sell. These are statistical outputs of a model, not personalised investment recommendations.
2.3 Model accuracy disclaimer
The AI model's backtested directional accuracy is approximately ~51–58% across timeframes. You should assume the model will be wrong approximately 42–49% of the time. Using the App's signals as the sole basis for investment decisions could result in significant financial loss, including the total loss of invested capital.
2.4 Your responsibility
All investment decisions are yours alone. You are solely responsible for evaluating the merits and risks of any investment and for ensuring any decision is appropriate for your own circumstances. We strongly recommend you consult a qualified, regulated financial adviser before making any investment decision.
2.5 No fiduciary relationship
No fiduciary, advisory, trust, agency, or other special relationship is created between you and WatchSignal by your use of the App. We owe you no duty of care, loyalty, or best execution in connection with any investment decision you make. The App does not create a client-adviser relationship, and you should not treat any content in the App as if it were provided by a person acting in a fiduciary capacity.
2.6 User acknowledgement
By using the App, you acknowledge and agree that:
- You have read and understood the disclaimers in Sections 2.1–2.5
- You understand that AI signals are probabilistic estimates, not guaranteed outcomes
- You will not rely on the App as the sole basis for any investment decision
- You accept full responsibility for your own investment decisions
- You have been advised to seek independent professional financial advice
3. Regulatory notices by jurisdiction
3.1 United States
The App is provided for informational purposes only and does not constitute investment advice within the meaning of the Investment Advisers Act of 1940. WatchSignal is not a registered investment adviser under the Investment Advisers Act or any state securities law. The App does not provide personalised investment advice as defined by the SEC's Regulation Best Interest (Reg BI). Nothing in the App should be construed as a solicitation or offer to buy or sell any security.
Securities involve risk. The value of investments may go down as well as up, and you may lose all or part of your invested capital.
3.2 United Kingdom — App not available to UK residents
WatchSignal is not available to residents of the United Kingdom and does not solicit UK customers. The App has been withdrawn from the UK App Store, and the marketing website is not directed at UK consumers. WatchSignal is not authorised or regulated by the UK Financial Conduct Authority (FCA), and the protections of the UK financial services regulatory regime — including the FCA's Conduct of Business Sourcebook (COBS) and the Consumer Duty (PS22/9) — do not apply.
If you are resident in the United Kingdom, you are not the intended audience of these Terms or the App. By accepting these Terms you represent that you are not a UK resident and that your use of WatchSignal does not occur in or from the United Kingdom.

3.3 European Union
The App does not constitute investment research, investment advice, or a personal recommendation within the meaning of Directive 2014/65/EU (MiFID II) or any implementing regulation. WatchSignal is not an investment firm and is not authorised to provide investment services in any EU member state. The signals provided by the App do not constitute personalised investment advice under MiFID II Article 25.
3.4 Australia — App not available to Australian residents
WatchSignal is not available to residents of Australia and does not solicit Australian customers. The App has been withdrawn from the Australian App Store, and the marketing website is not directed at Australian consumers. WatchSignal does not hold an Australian Financial Services (AFS) licence under the Corporations Act 2001 (Cth), and the consumer protections of the Australian financial services regulatory regime — including the best interests duty under s.961B and the design and distribution obligations administered by ASIC — do not apply.
If you are resident in Australia, you are not the intended audience of these Terms or the App. By accepting these Terms you represent that you are not an Australian resident and that your use of WatchSignal does not occur in or from Australia.

3.5 Canada — App not available to Canadian residents
WatchSignal is not available to residents of Canada and does not solicit Canadian customers. The App has been withdrawn from the Canadian App Store, and the marketing website is not directed at Canadian consumers. WatchSignal is not registered with the Canadian Securities Administrators (CSA) or any provincial securities regulator (including the OSC, AMF, and BCSC) under National Instrument 31-103, and the consumer protections of the Canadian financial services regulatory regime — including the suitability and know-your-client obligations administered by CIRO — do not apply.
If you are resident in Canada (including Quebec), you are not the intended audience of these Terms or the App. By accepting these Terms you represent that you are not a Canadian resident and that your use of WatchSignal does not occur in or from Canada.
If you have questions about Canadian availability or believe you have received a Canada-directed communication from WatchSignal in error, please contact us at support@watchsignal.ai.
3.6 All other jurisdictions
The App is provided for informational purposes only and does not constitute regulated financial advice in any jurisdiction. You are responsible for determining whether your use of the App complies with the laws and regulations applicable in your country.
4. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the App. By using the App, you represent that you meet this requirement.
The App is not available to residents of the United Kingdom (see Section 3.2), Australia (see Section 3.4), Canada (see Section 3.5), or to persons in jurisdictions where its use would violate applicable laws or regulations.
5. Licence to use the App
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the App on a device you own or control, solely for your personal, non-commercial purposes.
You may not:
- Copy, modify, or create derivative works of the App
- Reverse-engineer, decompile, or disassemble the App (except to the extent permitted by applicable law)
- Sell, sublicense, or redistribute the App
- Use the App to provide services to third parties on a commercial basis
- Scrape, extract, or systematically collect data from the App or its connected services
- Use the App in any way that violates applicable laws or regulations
5.2 Prohibited uses
In addition to the restrictions above, you may not:
- Use the App if you are subject to sanctions administered by OFAC, the EU, the UK, the UN, or any other applicable sanctions authority
- Use the App's signals, data, or outputs to engage in market manipulation, insider trading, front-running, or any other form of securities fraud
- Systematically redistribute, republish, or commercially resell the App's signals, trade plans, AI reasoning, or other proprietary outputs to third parties (whether manually or via automated means)
- Use the App to provide investment advisory services to others without appropriate regulatory authorisation
- Circumvent, disable, or interfere with any security, access control, or rate-limiting features of the App
- Use the App on behalf of a minor (under 18) or on behalf of a person who has not agreed to these Terms
5.3 Data licence
You retain all ownership of the data you enter into the App (portfolio positions, watchlist entries, alerts, notes). By using the App, you grant WatchSignal a limited, non-exclusive, royalty-free licence to process this data on your device solely for the purpose of providing the App's features (including AI signal generation, portfolio analytics, and alert evaluation). This licence:
- Is limited to on-device processing only — your data is not transmitted to our servers for this purpose
- Terminates immediately upon your deletion of the data or uninstallation of the App
- Does not grant us any right to sell, share, or use your data for any purpose other than providing the App's features to you
5.4 Social sharing
The App allows you to share signals, forecasts, and other content via screenshots, share cards, or messaging. When you share content:
- You are responsible for ensuring your sharing complies with applicable laws in your jurisdiction
- Shared content includes mandatory disclaimers (e.g., "AI signal — not financial advice"). You may not remove, alter, or obscure these disclaimers.
- Sharing does not constitute a recommendation, endorsement, or financial promotion by WatchSignal
- WatchSignal is not responsible for how shared content is interpreted, redistributed, or acted upon by recipients
6. Third-party data and services
The App retrieves market data from third-party providers including Yahoo Finance and Reddit. This data is provided "as is." We do not guarantee its accuracy, completeness, timeliness, or fitness for any particular purpose. Market data may be delayed, inaccurate, or unavailable.
Your use of third-party services through the App is subject to those services' own terms and privacy policies. We are not responsible for third-party services.
7. Portfolio and watchlist data
Portfolio positions, watchlist entries, and other financial data you enter into the App are stored locally on your device. We do not back up, store, or have access to this data. You are solely responsible for maintaining your own records of your investments. We accept no liability for loss of data due to device failure, App updates, or any other cause.
8. Subscriptions and billing
8.1 Free trial
The monthly plan includes a 7-day free trial for eligible new subscribers. At the end of the free trial period, your payment method will automatically be charged the monthly subscription fee unless you cancel at least 24 hours before the trial ends.
8.2 Auto-renewal
Subscriptions automatically renew unless cancelled:
- Monthly plan: renews each month at the then-current price.
You will not receive a separate notice before each renewal. Renewal charges are processed by Apple through your App Store account on file.
8.3 How to cancel
iOS (iPhone/iPad):
- Open the Settings app.
- Tap your name at the top.
- Tap Subscriptions.
- Tap WatchSignal.
- Tap Cancel Subscription.
Cancellation takes effect at the end of the current billing period. You retain access to premium features until that date. We do not offer refunds for partial billing periods except where required by applicable law.
8.4 Price changes
We may change subscription prices at any time. We will notify you in advance of any price change applicable to your subscription. Continued use after the effective date of a price change constitutes acceptance.
8.5 Refunds
All purchases are processed by Apple or Google. Refund requests must be directed to the relevant platform:

9. No warranty
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- ANY SIGNALS, ANALYTICS, OR DATA IN THE APP ARE ACCURATE OR COMPLETE
- THE APP WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
- DEFECTS OR ERRORS WILL BE CORRECTED
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAZEM ELSISY BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT RETURNS
- DAMAGES ARISING FROM YOUR RELIANCE ON ANY SIGNAL, RECOMMENDATION, OR CONTENT IN THE APP
- FINANCIAL LOSSES RESULTING FROM INVESTMENT DECISIONS MADE USING THE APP
IN ALL CASES, OUR MAXIMUM AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED £100 / $100 / €100 (WHICHEVER IS APPLICABLE).
SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
Nothing in these Terms limits or excludes our liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Hazem ElSisy from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the App
- Your violation of these Terms
- Your violation of any third-party rights
- Any investment decisions you make based on content in the App
12. Referral programme
The App includes an optional referral programme. Participation is voluntary. Referral rewards (if any) are at our sole discretion and may be modified or discontinued at any time without notice. The referral programme is not available where prohibited by law.
13. Intellectual property
The App, including its source code, AI model, design, trademarks, and content, is owned by Hazem ElSisy and protected by applicable intellectual property laws. These Terms do not transfer any intellectual property rights to you.
14. Governing law and disputes
14.1 UK users
Reserved. WatchSignal is not available to residents of the United Kingdom. See Section 3.2.
14.2 EU users
These Terms are governed by the laws of England and Wales. EU consumers retain the benefit of mandatory consumer protection laws in their country of residence. The European Commission's Online Dispute Resolution platform is available at https://ec.europa.eu/odr.
14.3 US users
These Terms are governed by the laws of England and Wales. Nothing in these Terms limits any rights you may have under applicable US consumer protection laws.
14.4 Australian users
Reserved. WatchSignal is not available to residents of Australia. See Section 3.4.
14.5 Canadian users
Reserved. WatchSignal is not available to residents of Canada. See Section 3.5.
14.6 All other users
These Terms are governed by the laws of England and Wales.
15. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, providing in-app notice. Continued use of the App after changes take effect constitutes your acceptance of the updated Terms.
16. Termination
We may suspend or terminate your access to the App at any time, for any reason, without notice. You may stop using the App at any time by deleting it.
17. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
18. Force majeure and market disruption
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Interruption or failure of third-party data feeds (Yahoo Finance, Polygon.io, Reddit, or other market data providers)
- Exchange closures, trading halts, circuit breakers, or market suspensions
- Natural disasters, pandemics, or acts of God
- Government actions, sanctions, embargoes, or regulatory changes
- Network outages, power failures, DDoS attacks, or other cybersecurity incidents
- App Store service disruptions
During a force majeure event, the App's signals, data, and features may be unavailable, delayed, or inaccurate. You should not rely on the App during periods of known market disruption. We will make reasonable efforts to restore service as quickly as practicable.
19. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us with respect to the App and supersede all prior agreements.
